Choosing the wrong business type when registering a company in Bali

People often misunderstand Business Classification when registering a company, where a specific classification cannot do certain business activities or transactions etc.

To prevent this mistake, you should work with an experienced Legal Associate who is familiar with classifications and business needs.

Inexperienced advisors may pick the wrong business classifications which can restrict your business activities. Contact LetsMoveIndonesia to ensure you are not limited by other people’s mistakes.

Do not have a registered office address in Bali

If your business is located in Bali, then you should have a registered office address in Bali. Without an office address, you will not be able to open your business.

Additional notes to remember are that some businesses require actual offices, whilst others can be registered using a virtual office. The office you choose will be based on the legal entity you set up and its classification.

If you set up a business and do not choose the right office for your business classification, you may find that you are unable to obtain additional licenses or do certain trading. Therefore, you must register the right office type.

Additionally, if you need a virtual office, you can use LetsMoveIndonesia’s Virtual Office Solution.

Getting the wrong visa for foreigner investors

Depending on your job role within the business or whether you are an investor/have share allocation, will affect what type of visa you can obtain.

If you do not have shares then you will need to use a Working KITAS

If you are an investor with over 1,000,000,000 IDR invested, then you should obtain an Investor KITAS.

When setting up the business, ensure you are confident and clear about who the investors and roles will be. Changing the roles at a later date will incur expensive costs.

Not appointing a resident director

A company registered in Indonesia should at least have one director resident here in Indonesia. For legal, Tax, Accounting, and Investment report purposes.

Thinking that it is mandatory to have an Indonesian director

Especially as PMA, a Company doesn’t have to hire an Indonesian director of the company as long as there is at least one director resident here in Indonesia. For legal, Tax, Accounting, and Investment report purposes.

Not doing enough market research before registering a company in Bali

As with any business, you could lose all of your investment and even go bankrupt if you do not do enough market research before opening your business in Bali.

Additionally, if you work with a Legal Partner who does not provide you with accurate and professional advice, you could find yourself in legal hot water.
